At first glance, a Virtual Data Room and standard cloud storage (such as Google Drive, Dropbox, or OneDrive) appear to do the same thing: store and share files over the internet. However, during high-stakes financial transactions, relying on consumer cloud storage introduces fatal security and legal liabilities.

1. The Core Limitation of Consumer Cloud Storage

Consumer cloud storage platforms are built for collaborative editing and friction-free file sharing. Once you share a link or allow a download, the recipient owns a local copy of that asset forever. There is no mechanism to prevent them from forwarding it, screenshotting it, or revoking access after relations sour.
